Merger Talks Between Honda and Nissan End Without Agreement, Yet Strategic EV Collaboration Continues

Honda and Nissan Conclude Merger Discussions Without Agreement

Honda and Nissan announced on Thursday that they have ended their preliminary merger discussions outlined in a memorandum of understanding, although they intend to maintain their collaborative efforts.

In December, the two car manufacturers inked a memorandum as a preliminary move towards a planned merger in 2026. However, each company’s leadership and relevant stakeholders recently decided to abort the agreement after reviewing factors such as the current market conditions, the goals of the merger, and the post-merger management plans and frameworks, according to a joint press release.

As negotiations commenced, the initial agreement between the two car manufacturers was to set up a shared holding entity, with Honda in charge of naming most of the board members and the chief executive. However, Honda shifted its stance, suggesting that Nissan become one of its subsidiaries. An earlier report this month suggested that this change was threatening the proposed merger. This new arrangement would reduce Nissan’s control over corporate decisions, and reportedly led to the company pulling out of the discussions.

The statement indicated that the two firms decided to halt discussions on merging to focus on swiftly making decisions and implementing management strategies amidst the growing instability of the market as it moves towards electrification.

The statement highlighted that Nissan and Honda are set to join forces under a strategic alliance focused on advancing smart and electric vehicle technologies. It also confirmed that their previous agreement, which includes collaboration on electric vehicles, hybrids, and software technologies established in March 2024, is still active.

The proposed merger was seen as a crucial support mechanism for Nissan, which was facing falling sales worldwide, especially in key markets like the U.S. and China. Owning a 34% stake in Mitsubishi, Nissan collaborates with it as part of a partnership that includes Renault. However, Mitsubishi was apparently opting not to participate in the potential merger with Honda.
